Terms of Service

Version: 24 September 2026 · applies to aurexus.io

1. Scope and contracting party

These terms govern the use of aurexus.io, operated by Aurex Global LLC, 30 N Gould St Ste N, Sheridan, Wyoming 82801, United States of America. The Data Processing Agreement forms part of these terms. The Affiliate Terms apply additionally to the affiliate program.

The service is offered exclusively to businesses (entrepreneurs within the meaning of § 14 of the German Civil Code and legal entities). When registering, you confirm that you are acting as a business. No contract is concluded with consumers. The customer's own terms do not apply, even if we do not expressly object to them.

2. Services

Depending on the plan booked, aurexus.io includes:

  • an overview and analysis of your Meta ad accounts and changes to campaigns after your approval
  • an AI-powered Copilot and tasks that watch accounts and notify you
  • the Lead Center with export and optional forwarding to your CRM
  • the Creative Center for generating ad creatives in exchange for credits
  • connecting a Shopify or WooCommerce store (e-commerce, beta)
  • access for your team

Access to your ad accounts is via Meta's Marketing API and only within the permissions you have granted. You can revoke this at any time — in the app or in your Facebook settings. We may develop and change features as long as the agreed core of the service is preserved.

3. Beta features

Features marked as beta — currently the store connection — are provided at an early stage. They may contain errors, change or be discontinued.

Store figures are an attribution, not accounting. They depend on your ads carrying UTM parameters and your store saving them with the order. We do not attribute orders without such data to any ad; differences from the figures in your store system are possible. Do not use store figures as a basis for accounting, taxes or settlements with third parties.

4. Responsibility for advertising and AI output

Changes to your campaigns — budgets, status, settings — are only carried out after your explicit approval. The Copilot suggests; it changes nothing on its own. Scheduled tasks only carry out what you approved beforehand.

Responsibility for your advertising remains with you — for the amount spent as well as for the content and lawfulness of the ads. Recommendations and analyses are decision aids, not a guarantee of commercial success.

AI output can be wrong. Copilot answers and generated creatives are produced automatically. Review them before use. For generated creatives: you decide whether and how to use them and are responsible for their content, their labelling as AI content and their use being lawful and not infringing third-party rights. To the extent any rights arise in a creative, we grant you a non-exclusive right of use unlimited in time. We give no assurance that a creative is free of third-party rights.

5. Your obligations

  • You keep your credentials secret and do not share them.
  • You connect only ad accounts, forms and stores you are authorised to. If you act for clients, you make sure you may process their data in our service.
  • If you connect a store, you inform your store's customers in your own privacy policy that order data is passed to service providers for analysing your advertising.
  • You upload only content you hold the necessary rights to, and no images of identifiable people without a legal basis.
  • You comply with the advertising policies and platform terms of Meta and of your store system.
  • You do not use the service in a way that impairs its availability for others, in particular not through automated bulk requests outside the intended features.

6. Plans, credits and fees

Features and price follow from the plan chosen at the time of booking. A free plan may be limited in features, number of ad accounts and usage; the applicable limits are shown in the app.

Paid plans are billed in advance and run until the end of the billing period. You can cancel at any time with effect from the end of the current period; periods already paid are not refunded pro rata.

Credits are a balance for the Creative Center. Credits included in a plan apply to the respective month. Purchased credits do not expire. Credits are not transferable and are not paid out.

VAT. All prices are net. Aurex Global LLC is based in the United States; the service is provided exclusively to businesses. The tax liability passes to you as the recipient (reverse charge, Art. 196 of the EU VAT Directive, in Germany § 13b UStG). We do not charge VAT; declaring and paying it in your country is your responsibility. Please provide your VAT identification number at checkout.

7. Availability and third-party services

We strive for continuous operation but do not owe any particular availability. We announce maintenance where possible.

The service depends on third-party interfaces — Meta, your store system and AI providers. Their outages, limits or changes are beyond our control; we are not liable for restrictions resulting from them.

8. Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health and under mandatory statutory provisions. For simple negligence we are liable only for breach of essential contractual obligations, limited to the typical, foreseeable damage and, per contract year, to the fees you paid us in the twelve months before the event causing the damage.

In particular, we are not liable for lost profits, missed advertising results, spend resulting from changes you approved, or decisions you make on the basis of AI output or beta features.

9. Termination and deletion of data

You can cancel your plan at any time with effect from the end of the billing period; your account then continues on the free plan. Cancellation alone does not delete any data. We carry out full deletion of your account within 30 days of your request to support@aurex.llc. Statutory retention obligations remain unaffected. Details on disconnecting and deletion are in the Privacy Policy (section 10).

We may terminate the contract with four weeks' notice, and without notice for good cause, in particular for breach of section 5.

10. Changes to these terms

New contracts are governed by the version published when the contract is concluded; we store which version you accepted. If we change these terms for existing contracts, we notify you at least four weeks before they take effect by email or in the app. If you do not object before they take effect, the changes are deemed accepted; we point this out separately in the notice.

11. Language versions

These terms are available in German and English. In case of discrepancies, this English version prevails. The German version is provided for your convenience.

12. Final provisions

These terms are governed by the laws of the State of Wyoming, USA, excluding the UN Convention on Contracts for the International Sale of Goods. If any provision is invalid, the rest of the contract remains in effect.
